IntelliSolve Software License Agreement (SLA)

1. Introduction

This Software License Agreement (“Agreement”) is entered into between Kuare ICT Solutions (“Licensor”) and the user (“Licensee”) of IntelliSolve, the Licensor’s proprietary ERP software solution. IntelliSolve represents an advanced suite of intelligent tools designed to provide sophisticated solutions for complex business problems, enhancing decision-making, efficiency, and performance for organizations.

2. Grant of License

Kuare ICT Solutions grants the licencee a non-exclusive, non-transferable, revocable licence to access and use IntelliSolve subject to the terms of this Agreement.

3. Intellectual Property

Kuare ICT Solutions is the sole owner of all intellectual property rights in IntelliSolve, including modifications and enhancements. The licencee is granted a licence to use IntelliSolve per this Agreement but acknowledges Kuare ICT Solutions’ ownership and shall not claim any interest in or rights to IntelliSolve’s intellectual property.

4. Payment Terms

Licensee agrees to pay the fees associated with their subscription tier as outlined in IntelliSolve’s pricing schedule. All payments are due within 30 days of invoicing, and the subscription is automatically renewed unless cancelled in writing by the Licensee 30 days prior to the renewal date.

5. Use Restrictions

The Licensee shall not:

  • Copy, modify or create derivative works based on IntelliSolve.
  • Reverse engineer, decompile or disassemble IntelliSolve, except as permitted by law.
  • Rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer or otherwise make available IntelliSolve to any third party for any reason.

6. Confidentiality

Both parties commit to maintaining the confidentiality of any proprietary information exchanged during the term of this Agreement, using it solely for purposes related to the use of IntelliSolve.

7. Data Security

Kuare ICT Solutions implements rigorous data protection measures, including encryption and access control, to secure data against unauthorized access and threats. Detailed incident response plans are in place to promptly address and mitigate the impact of any data breach.

8. Warranties and Disclaimers

IntelliSolve is provided “as is” without any warranties, express or implied, beyond those necessary to ensure compliance with the description of functionalities provided by Kuare ICT Solutions. The Licensor disclaims all other warranties, including the implied warranties of merchantability and fitness for a particular purpose.

9. Limitation of Liability

Kuare ICT Solutions’ liability under this Agreement is limited to the amount paid by the Licensee for the use of IntelliSolve. Under no circumstances shall Kuare ICT Solutions be liable for any indirect, special, incidental, or consequential damages arising out of or related to this Agreement.

10. Termination

This Agreement may be terminated by either party if the other breaches any material term and fails to cure such breach within 30 days of written notice. Upon termination, the Licensee must cease all use of IntelliSolve and destroy all copies of related materials.

11. General Provisions

This Agreement is governed by the laws of the jurisdiction in which Kuare ICT Solutions is located, without regard to its conflict of laws principles. Any disputes arising from this Agreement shall be resolved through arbitration in the same jurisdiction.

12. Signature

By using IntelliSolve, the Licensee agrees to the terms of this Agreement, executed by the duly authorized representatives of Kuare ICT Solutions and the Licensee.
